- Dojos subscribe to MyIppon and can cancel with 30 days' notice. There are no long contracts.
- Your dojo's data belongs to your dojo. We never sell it. You can export it when you leave.
- Students and families: your dojo, not MyIppon, sets your membership, fees and refunds.
- Payments go through Stripe. MyIppon never holds a dojo's money.
- Please use MyIppon lawfully. Do not send spam, and do not try to break or misuse the system.
1. Agreement
These Terms of Service ("Terms") are a legal agreement between MyIppon ("MyIppon", "we", "us") and you. You accept them by creating an account, signing the MyIppon Service Agreement, or using MyIppon websites, dashboards or the MyIppon app (the "Services").
If you accept for a dojo, school or other organization, you confirm that you have authority to bind it. In that case, "you" means that organization. For dojos, these Terms work together with the MyIppon Service Agreement signed at sign-up. If the two conflict, the signed Service Agreement wins. Our Privacy Policy explains how we handle personal information and is part of these Terms.
2. Definitions
- Dojo: a martial arts school or organization that subscribes to MyIppon.
- Dojo User: an owner, staff member or instructor a Dojo gives access to.
- Member: a student, parent, guardian, guest or prospect whose information a Dojo keeps, including people who use the MyIppon app or a Dojo's MyIppon pages.
- Dojo Data: the information a Dojo, its Dojo Users or its Members put into the Services, including Member information.
3. Accounts and security
- Give accurate information and keep it up to date.
- Keep passwords, PINs and authenticator codes private. Each person uses their own login, and logins are never shared.
- You are responsible for what happens under your account. Dojos are responsible for the staff they give access to, and for removing access when someone leaves.
- Tell us right away at [email protected] if you suspect unauthorized access.
- We may require two-step verification for some roles or features.
4. Dojo responsibilities
Each Dojo:
- is responsible for its relationship with its Members, including memberships, prices, contracts, refunds, cancellations, classes, gradings and safety;
- controls Member information. It must have a lawful basis and any consent it needs (including a parent's or guardian's consent for children) to collect and use that information in the Services, and it must answer Members' privacy requests, with our help;
- is responsible for the content of its waivers, forms, agreements, websites and messages, and for having them reviewed for its province. MyIppon's starter templates are examples only, not legal advice;
- must follow the laws that apply to it, including privacy, consumer protection, anti-spam (CASL), tax, employment and payroll laws;
- keeps its own copies of records it is legally required to keep. The Services make exports available.
5. Students and families
If you are a Member, your dojo gives you access to MyIppon. Your membership agreement, fees, payment schedule, refunds and class rules are between you and your dojo. MyIppon provides the software only. Questions about charges, refunds or your membership should go to your dojo. Payments you make go to the dojo through Stripe. Your use of the app and Member pages is subject to these Terms and our Privacy Policy. If you are under 18, a parent or guardian must agree to these Terms for you.
6. Acceptable use
You must not:
- break the law, or help others break it, including privacy, anti-spam, consumer protection and payment card rules;
- send spam or unwanted marketing, or message people without the consent the law requires;
- upload anything illegal, hateful, harassing, sexually exploitative, or that infringes someone else's rights;
- access, or try to access, another dojo's data or anyone else's account;
- probe, scan or test the Services for weaknesses without our written permission (good-faith reports to [email protected] are welcome);
- overload, disrupt, copy, reverse engineer, scrape or resell the Services, or get around usage limits or security;
- upload malware, or use the Services to send it;
- store full payment card numbers, security codes, or government ID numbers outside the fields designed for them.
We may remove content, or limit or suspend access, to stop a breach of this section or to protect people or the Services.
7. Subscription, fees and taxes
- Dojos pay the subscription price shown in their account or agreed in writing, on the billing schedule they choose (monthly, yearly or another agreed interval). Optional add-ons, such as text-message credits, are charged as described in the Services.
- Prices are in Canadian dollars and do not include taxes. Applicable taxes (such as HST/GST/QST) are added.
- Fees are charged automatically to the payment method on file. If a payment fails, we will try again and notify you. After a grace period we may suspend access until the account is paid.
- We may change prices with at least 30 days' notice. The new price applies from your next billing period after the notice.
- Except where the law requires otherwise or we agree in writing, fees already paid are not refundable, including for partial periods.
8. Payments through Stripe
Card and bank payments in MyIppon are processed by Stripe. To accept payments from Members, a Dojo must have a Stripe account and accept Stripe's terms, including the Stripe Connected Account Agreement. Money paid by Members goes to the Dojo's Stripe account. MyIppon never holds a Dojo's funds. Stripe's fees, payout timing, disputes, chargebacks and reserves are governed by Stripe's terms. The Dojo is responsible for its refunds and chargebacks, and for following card network rules. MyIppon is not a bank, payment processor or money services business.
Membership payment schedules in MyIppon are locked once committed, to protect both the Dojo and the family. They can be changed only through the steps the Services allow, such as a refund or postponing a payment.
9. Texts, emails and credits
Texts and emails sent through MyIppon are sent on the Dojo's behalf, and the Dojo is the sender under CASL. Delivery depends on phone carriers, email providers and recipients' settings, so we cannot guarantee that every message arrives. Text credits are used up as messages are sent (picture messages cost more). Unused credits are not refundable and have no cash value unless the law requires otherwise. We may slow down or stop messages that look like spam or put our sending reputation at risk.
10. Your data
- Ownership. Dojos keep all rights to their Dojo Data. We claim no ownership of it.
- Our limited use. You allow MyIppon to host, copy, process and display Dojo Data only as needed to provide, secure, support and improve the Services, and as the law requires. We do not sell Dojo Data, and we do not use it for advertising.
- Service provider role. For Member information, MyIppon acts as the Dojo's service provider. We follow the Dojo's instructions and our Privacy Policy. We keep Member information confidential, and allow access only to staff and providers who need it and are bound to protect it.
- Export and deletion. A Dojo can export its data during its subscription and during the notice period after giving notice. After termination, we delete or anonymize Dojo Data within 90 days, except what the law requires us to keep.
- Anonymous statistics. We may use totals and statistics that do not identify any Dojo or person, to run and improve the Services.
- Feedback. If you send us ideas or suggestions, we may use them freely, without paying you.
11. Privacy and security
We protect Dojo Data with administrative, technical and physical safeguards suited to its sensitivity. These are described in our Privacy Policy. If a security breach affects Dojo Data, we will notify the affected Dojo without undue delay, aiming for within 72 hours of confirming it. We will help the Dojo meet its obligations, including notices to individuals and regulators where required.
12. Availability, support and changes
- We work to keep the Services available around the clock, with backups, standby servers and monitoring. However, we do not promise uninterrupted or error-free service. Planned maintenance is announced in advance where possible.
- Support is provided by email and in the Services during reasonable business hours.
- We improve MyIppon often. We may add, change or remove features. If we remove a major feature Dojos depend on, we will give reasonable notice. Features marked beta or preview are provided as-is and may change or end.
13. Third-party services
The Services work with third-party services such as Stripe, text and email carriers, Google, Apple and app stores. Your use of those services is governed by their own terms. We are not responsible for them, including their outages or changes.
14. MyIppon's property
MyIppon owns the Services, including the software, design, logos and content we provide, other than Dojo Data. While you are in good standing, we give you a limited, non-exclusive, non-transferable right to use the Services for your Dojo's internal business, or as a Member. We keep all rights not expressly granted.
15. Term, suspension and termination
- A Dojo's subscription continues until it is ended. Either side may end it for any reason with 30 days' written notice (email is enough).
- We may suspend or end access immediately if you seriously breach these Terms, do not pay after the grace period, or create a security, legal or safety risk. Where reasonable, we will warn you first and give you a chance to fix the problem.
- When a subscription ends, access stops at the end of the notice period. Fees owed up to that date remain payable. Sections 10, 14 and 16 to 20 continue to apply.
16. Disclaimers
To the fullest extent the law allows, the Services are provided "as is" and "as available". MyIppon disclaims all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose and non-infringement. MyIppon is a software tool. It does not provide legal, tax, accounting, medical or payroll advice. Starter templates, reports and calculations (such as taxes or payroll) are for convenience, and the Dojo should have them checked. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.
17. Limitation of liability
To the fullest extent the law allows:
- MyIppon is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they were possible;
- MyIppon's total liability for all claims relating to the Services or these Terms is limited to the fees the Dojo paid MyIppon in the three (3) months before the event that caused the claim. For Members who pay MyIppon nothing, the limit is CAD $100.
These limits do not apply to liability that the law does not allow to be limited, such as liability for fraud, or for death or personal injury caused by negligence.
18. Indemnity
Each Dojo will defend and indemnify MyIppon, its owners and staff against third-party claims, losses and reasonable legal costs that arise from:
- the Dojo's Data, waivers, forms, messages or websites;
- its dealings with its Members, including fees, refunds, injuries and disputes;
- its breach of these Terms or of the law.
MyIppon will tell the Dojo promptly about any such claim and cooperate reasonably.
19. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Before starting a formal claim, each side agrees to try to resolve a dispute in good faith for 30 days after written notice. After that, the courts of Ontario have exclusive jurisdiction, except where consumer protection law gives you the right to go to court where you live.
20. General
- Changes to these Terms. We may update these Terms and will post the new version here. For significant changes, we will tell Dojos at least 30 days in advance. Continuing to use the Services after the change takes effect means you accept it.
- Notices. We send notices to the email on the Dojo's account or show them in the Services. Send notices to us at [email protected].
- Events beyond our control. Neither side is responsible for delays caused by events beyond reasonable control, such as major outages, natural disasters, or failures of carriers or utilities. This does not apply to payment obligations.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, sale or reorganization, with notice to Dojos.
- Entire agreement and severability. These Terms, the Privacy Policy and any signed Service Agreement are the entire agreement on this subject. If any part is found unenforceable, the rest still applies. If we do not enforce a right, that does not mean we give it up.
- Language. The parties want these Terms written in English. Les parties ont exigé que ces conditions soient rédigées en anglais.
